Rising Star: Hogan Lovells' Jalpit Amin
Hogan Lovells LLP partner Jalpit Amin has successfully steered several multibillion-dollar deals in the technology sector, including Oracle's $28 billion purchase of Cerner Corp. and Marvell Technology Group's $10 billion acquisition of Inphi Corp., earning him a spot among the technology attorneys under 40 honored by Law360 as Rising Stars.
The biggest deal of his career:
Amin points to Oracle Corp.'s $28 billion acquisition of Cerner, which closed in June 2022, as a deal noted for its dollar value, complexity and the challenges generated by the technology-focused Oracle making an entry into the healthcare space.
"There was a lot of complexity around getting what was traditionally a tech company familiar and comfortable with the healthcare world and the healthcare-related risks that come with it, especially in a transaction of this size," Amin recalled.
He added, "There was also a lot of regulatory scrutiny around the deal: There were antitrust filings and a number of different jurisdictions around the globe. So we had to work to navigate those and to effectively come up with deal terms that would work for both sides."
The deal also drew scrutiny from stockholders as well as litigation, which Amin described as "inevitable," that he and his team endeavored to prepare for.
"Being able to get out ahead of that in the course of the transaction was particularly challenging and very fascinating to work on," he said. "But it made it a very cool transaction from outside counsel's perspective."
