While playing a central role in capital markets regulation, investor protection is often more predicated than analyzed in its actual content. Focusing on European Union law, the talk will discuss the different paradigms underlying investor protection in broker-dealer regulation and their implications. After critically describing the evolution of the EU legal system from the traditional disclosure-based paradigm to a model featuring an additional focus on the quality of the service provided, the speaker will present and evaluate the current regime from both a legal and an economic perspective.

Andrea Perrone is Full Professor of Corporate Law & Securities Regulation at the Università Cattolica del Sacro Cuore (UCSC) in Milan, Italy. He has taught at the Università di Ferrara and has been Visiting Professor at the Hebrew University of Jerusalem, the Université Paris X, the University of Warsaw. Professor Perrone is the Director of the Master in Family Banking and of the Master in Banking, Finance, and Regulation, both at UCSC. He has published extensively in the field of securities regulation, corporate law, contracts, and non-profit organizations.

Name partner at Perrone & Associati, a boutique law firm in Milan specializing in securities regulation, banking law, and corporate law, professor Perrone also serves as an independent director in both financial and industrial companies.

Professor Perrone is the Director of CESEN, a UCSC based research center for church entities and other non-profit organizations, and serves as the President of Spe Salvi Foundation, established to foster inter-university cooperation between Italy and Africa.

Professor Perrone holds a J.D. from the UCSC and a Ph.D. in law from the State University of Ferrara, Italy. He has been visiting scholar at the Yale Law School and since 2000 has been spending a summer research period at the University of Chicago Law School.
