Douglas C. Barnard has been the chief legal officer of CF Industries, an S&P 500 agrichemical company, since 2004. During his tenure with CF Industries, Mr. Barnard represented the company in its $750M initial public offering, its $5B acquisition of a competitor following a four-way, fifteen-month takeover battle, its $1.4B divestiture of a business segment, and its recently announced and then withdrawn potential $28B cross-border merger of equals with a European competitor. Previously, he was a general counsel of Bcom3 Group, representing the company in its €3B sale to a European competitor; chief legal officer of LifeStyle Furnishings Int’l, representing the company in its $1B leveraged buyout; and a partner representing private equity clients at Kirkland & Ellis. Mr. Barnard holds a B.S. in physics from M.I.T. (1979), a J.D. from the University of Minnesota (1982 with honors), and an MBA in finance and accounting from Chicago Booth (1998 with high honors). He is also a member of the M.I.T. Corporation Development Committee.
